1. Acceptance of Terms
By accessing or using the PortfolioX platform (the "Service") operated by RaiderX, LLC dba PortfolioX ("we," "us," or "our"), available at portfolio.raiderx.net, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service, including landlords, property managers, organization team members, tenants, rental applicants, co-applicants, property owners, and visitors to public listing pages.
2. Description of Service
PortfolioX is a multi-tenant SaaS platform for managing real estate investment portfolios. The Service provides tools for tracking properties, leases, mortgages, property taxes, insurance policies, home warranties, back rent collection, tenant communications, maintenance requests, online rent payments, and financial reporting (profit & loss statements, balance sheets). The Service also enables users to:
- Link external financial accounts for transaction matching and accounting purposes.
- Conduct tenant background screening (criminal, credit, eviction, rental history, identity, and verification checks) through TenantScreeningX (TazAPI).
- Perform identity verification on rental applicants and co-applicants through Plaid Identity Verification.
- Manage co-applicant screening applications with separate payment and verification flows.
- Publish public property listings and receive inquiries and applications from prospective tenants.
- Manage property owner relationships, including owner portals, management fee calculations, owner statements, owner distributions (via ACH through Stripe Connect), owner approvals, and trust accounting (operating, security deposit, and reserve accounts).
- Access market mortgage rate data for refinance analysis.
- Connect with local service vendors through the RaiderX Preferred Partner Vendor Network.
The Service is intended for use by landlords, property managers, and their authorized team members, as well as tenants who access the tenant portal, property owners who access the owner portal, and prospective tenants who browse listings or submit applications.
3. User Accounts and Registration
To use certain features of the Service, you must register for an account. When you register, you agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information to keep it accurate.
- Maintain the security and confidentiality of your login credentials, including enabling multi-factor authentication when prompted.
- Accept responsibility for all activities that occur under your account.
- Notify us immediately of any unauthorized use of your account.
You may invite team members to your organization. As the organization owner, you are responsible for managing roles and permissions for all team members and ensuring they comply with these Terms. Tenants and property owners access the Service through separate portal interfaces using magic link email authentication.
4. Subscription and Billing
The Service is offered under various plan tiers (Free, Starter, Professional, and Enterprise), each with different resource limits and feature access. Plan details and pricing are available on our pricing page. We reserve the right to modify pricing and plan features with reasonable notice. Paid subscriptions will be billed in advance on a recurring basis through Stripe. You are responsible for providing valid payment information and ensuring timely payment. Failure to pay may result in suspension or termination of your account. Certain features, including but not limited to property owner management, trust accounting, custom branding, whitelabel options, vendor management, and expanded listing limits, are available only on specific plan tiers.
5. Payment Processing
The Service facilitates multiple types of payment processing through Stripe and Stripe Connect:
- Rent and Back Rent Payments: Payments from tenants are processed by Stripe and routed to the organization's connected Stripe account, less applicable processing fees and platform fees.
- Screening Application Fees: Payments from rental applicants and co-applicants for tenant screening fees are processed by Stripe Checkout and routed to the requesting organization's Stripe account. Each applicant and co-applicant pays their screening fee separately. When the landlord-pays model is selected, the organization absorbs the screening cost.
- Property Owner Distributions: ACH distributions to property owners are processed through Stripe Connect. Property owners onboard their bank accounts directly through Stripe Connect Express. Distribution amounts are calculated after deducting management fees and any reserve holdbacks.
- Subscription Billing: Organization subscription payments are processed by Stripe.
We do not store or have access to payment card numbers, bank account numbers, or other payment credentials. All payment processing is subject to Stripe's Terms of Service and Privacy Policy. We are not responsible for errors, delays, or issues caused by Stripe or the banking network.
6. Financial Account Linking
The Service allows you to connect external bank accounts and credit cards for transaction matching and accounting purposes through Plaid, Inc. ("Plaid"). By using this feature, you:
- Authorize data access: You authorize Plaid to access your financial account information on your behalf and share it with PortfolioX for the purpose of transaction matching and financial reporting.
- Acknowledge third-party terms: Your use of Plaid is subject to Plaid's End User Privacy Policy.
- Retain the right to disconnect: You may disconnect your financial accounts at any time through the PortfolioX settings, which will revoke access and stop all future data retrieval.
- Understand data limitations: Transaction data retrieved through Plaid is provided on an "as available" basis. We are not responsible for inaccuracies, delays, or gaps in data provided by your financial institution through Plaid.
7. Tenant Screening
The Service enables landlords and property managers to initiate tenant background screening applications through our partner, TenantScreeningX (TazAPI). By using the tenant screening features, you agree to the following:
7.1 For Landlords and Property Managers
- Permissible Purpose: You certify that you have a permissible purpose under the Fair Credit Reporting Act (FCRA) for requesting consumer reports on rental applicants, specifically that the reports will be used solely for the purpose of evaluating a rental application.
- Adverse Action Obligations: If you take adverse action (such as denying a rental application) based in whole or in part on information contained in a consumer report, you are solely responsible for complying with all FCRA adverse action notice requirements, including providing the applicant with the name and contact information of the consumer reporting agency (TenantScreeningX), a statement that the agency did not make the adverse decision, and notice of the applicant's right to dispute the accuracy of the report and obtain a free copy.
- Proper Use of Information: You agree to use consumer report information solely for the permissible purpose stated, to maintain the confidentiality of screening results, and not to share consumer report data with unauthorized parties.
- Compliance with Law: You agree to comply with all applicable federal, state, and local laws governing the use of consumer reports for housing decisions, including the FCRA, Fair Housing Act, and any applicable state or local fair housing and tenant screening laws.
7.2 For Rental Applicants and Co-Applicants
- Consent to Screening: By submitting a rental application and completing the screening process, you authorize the requesting landlord or property manager to obtain consumer reports (including criminal background, credit, eviction, rental history, and identity checks) about you through TenantScreeningX.
- Direct Data Collection: Sensitive personal information (including your Social Security Number, date of birth, and address history) is collected directly by TenantScreeningX through their secure hosted form. This information is never transmitted to or stored by PortfolioX.
- FCRA Rights: You have the right to obtain a copy of your consumer report from TenantScreeningX, to dispute inaccurate information, and to receive notice if adverse action is taken based on the report.
- Application Fees: You may be required to pay a screening application fee to cover the cost of the background check. Fees are non-refundable once the screening process has been initiated with TenantScreeningX. Payment is processed through Stripe.
7.3 Co-Applicants
Co-applicants (such as spouses, roommates, co-signers, or guarantors) may be added to a screening application by the landlord or property manager. Each co-applicant undergoes an independent screening process, including separate payment of screening fees and a separate background check through TenantScreeningX. Co-applicants receive their own unique application link via email and are subject to the same terms as primary applicants regarding consent, data collection, and FCRA rights.
8. Identity Verification
As part of the tenant screening process, applicants and co-applicants may be required to complete identity verification through Plaid's Identity Verification service. By proceeding with identity verification, you:
- Consent to verification: You consent to providing your government-issued identification, a selfie photograph, and personal information for the purpose of verifying your identity in connection with a rental application.
- Consent to biometric data collection: You consent to Plaid's collection and processing of biometric identifiers (facial geometry data derived from your selfie photograph) for identity verification and liveness detection purposes. This biometric data is collected, processed, and stored exclusively by Plaid.
- Acknowledge third-party processing: All identity verification data is collected and processed by Plaid, not by PortfolioX. Your use of Plaid's Identity Verification service is subject to Plaid's End User Privacy Policy.
- Understand data handling: PortfolioX only receives the verification outcome (pass/fail) and match result summaries. We do not receive or store your government ID images, selfie photographs, biometric data, or raw identity information.
9. Public Property Listings
The Service allows organizations to publish property listings on public-facing pages. By publishing a listing, you acknowledge that the listing information (including property description, photos, pricing, amenities, and contact details) will be publicly accessible on the internet. Organization logos may be displayed on public listings for eligible plan tiers. You are responsible for ensuring that all listing content is accurate, lawful, and does not violate any applicable fair housing laws or regulations. We reserve the right to remove any listing that violates these Terms or applicable law.
Prospective tenants may submit inquiries or rental applications directly from listing pages without creating an account. By submitting an inquiry or application, prospective tenants agree to these Terms and our Privacy Policy.
10. Property Owner Management
For organizations using the property management company (PMC) features, the following additional terms apply:
- Owner Portal: Property owners are given access to a dedicated owner portal where they can view property information, statements, distributions, trust account balances, and work order approval requests. Organization administrators are responsible for managing property owner access.
- Management Fees: Management fees are calculated automatically based on configured fee structures (percentage-based or flat fee) and deducted from owner distributions. Fee calculations are for informational and operational purposes; the managing organization is responsible for ensuring fee structures comply with their management agreements.
- Distributions: Owner distributions are processed via ACH through Stripe Connect. Property owners must onboard their bank accounts directly through Stripe Connect Express. Distribution calculations, including reserve holdbacks and management fee deductions, are the responsibility of the managing organization. We are not responsible for errors in distribution calculations or delays in ACH processing.
- Trust Accounting: The trust accounting features (operating, security deposit, and reserve accounts) are provided as a record-keeping tool to assist property managers in maintaining trust account ledgers. The managing organization is solely responsible for ensuring trust accounting records comply with applicable state property management trust accounting regulations. PortfolioX does not provide trust accounting compliance advice and is not responsible for regulatory compliance of trust account records.
- Owner Statements: Monthly owner statements are generated and published automatically. The managing organization is responsible for reviewing statements for accuracy before they are published to property owners.
- Owner Approvals: Work orders above configured thresholds may require property owner approval. Approval requests are sent via email with secure tokenized links. The managing organization is responsible for configuring appropriate approval thresholds.
11. Vendor Network
The Service integrates with the RaiderX Preferred Partner Vendor Network to help organizations find local service vendors. When you submit a vendor contact request, your contact information and property location data may be shared with the vendor. We do not guarantee the quality, reliability, or availability of any vendor in the network. The relationship between your organization and any vendor is independent of PortfolioX, and we are not a party to any agreement between you and a vendor.
12. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law or regulation, including but not limited to the FCRA, Fair Housing Act, state fair housing laws, and tenant screening regulations.
- Upload or transmit viruses, malware, or other malicious code.
- Attempt to gain unauthorized access to other users' accounts, data, or financial information.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service for any purpose other than property management and related activities.
- Scrape, mine, or otherwise extract data from the Service through automated means without our prior written consent.
- Store or transmit content that is illegal, fraudulent, or infringes on third-party rights.
- Use linked financial account data for any purpose other than your own property management accounting.
- Use consumer report data obtained through the screening features for any purpose other than evaluating a specific rental application, or share such data with unauthorized parties.
- Discriminate against rental applicants on the basis of race, color, national origin, religion, sex, familial status, disability, or any other protected class under federal, state, or local fair housing laws.
- Submit false, misleading, or fraudulent information in property listings, screening applications, or any other form on the Service.
- Use the trust accounting features as a substitute for professional accounting, legal, or compliance advice.
13. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data, including financial account data accessed through Plaid, screening data processed through TenantScreeningX, identity verification data processed through Plaid IDV, and property owner data. By using the Service, you consent to the collection and use of information as described in our Privacy Policy. You retain ownership of all data you enter into the Service. We do not sell your data to third parties. Organization data is isolated and only accessible to authorized members of your organization based on their assigned roles and permissions. Property owners can only access data related to properties they own.
14. Security
We implement industry-standard security measures including encrypted data transmission (TLS 1.2+), encryption at rest (AES-256), secure password hashing, multi-factor authentication, role-based access control, multi-tenant data isolation, webhook authentication, and sensitive data segregation (SSN, government IDs, biometric data are never stored on our servers). You are responsible for maintaining the security of your account credentials and for enabling multi-factor authentication when available. 15. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of RaiderX, LLC and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. You retain all rights to the data and content you upload to the Service. By uploading content (including property listing photos, organization logos, and documents), you grant us a non-exclusive, royalty-free license to display, distribute, and use that content solely for the purpose of providing the Service, including displaying property listings on public pages and organization logos on branded portals and public listings.
16. Disclaimers
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Without limiting the foregoing:
- Not Legal or Financial Advice: Financial data, reports, trust accounting ledgers, and management fee calculations generated by the Service are for informational and operational purposes only and should not be considered professional financial, tax, legal, or compliance advice. You should consult qualified professionals for advice specific to your situation.
- Not a Consumer Reporting Agency: PortfolioX is not a consumer reporting agency as defined by the FCRA. We facilitate the ordering of consumer reports through TenantScreeningX, which is the consumer reporting agency. We make no representations regarding the accuracy, completeness, or timeliness of screening reports.
- Third-Party Data: Data provided by third-party services (including Plaid, Stripe, TenantScreeningX, the FRED API, and the RaiderX Vendor Network) is provided on an "as available" basis. We are not responsible for the accuracy, completeness, or timeliness of data from third-party sources.
- Market Rate Data: Mortgage rate data and refinance opportunity analysis are provided for informational purposes only and should not be relied upon for financial decisions.
- Trust Accounting: The trust accounting features are a record-keeping tool and do not constitute compliance with any specific state trust accounting requirements. Compliance with applicable property management trust accounting laws is the sole responsibility of the managing organization.
- Vendor Referrals: We do not endorse, guarantee, or assume responsibility for the quality, safety, legality, or competency of any vendor in the RaiderX Preferred Partner Vendor Network.
17. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall RaiderX, LLC, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; (iv) unauthorized access, use, or alteration of your transmissions or content; (v) inaccuracies or delays in financial data provided through third-party integrations including Plaid, Stripe, TenantScreeningX, or the FRED API; (vi) decisions made based on tenant screening reports or identity verification results; (vii) errors in trust accounting records, management fee calculations, owner statements, or distribution amounts; (viii) actions or omissions of vendors in the RaiderX Preferred Partner Vendor Network; or (ix) any loss or damage arising from your reliance on data, reports, or calculations provided by the Service.
Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amounts you paid to us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).
18. Indemnification
You agree to defend, indemnify, and hold harmless RaiderX, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with (i) your access to or use of the Service; (ii) your violation of these Terms; (iii) your violation of any third-party right, including any intellectual property right or privacy right; (iv) any claim that your use of the Service caused damage to a third party; (v) your failure to comply with FCRA requirements, adverse action notice obligations, or other legal obligations related to the use of consumer reports; (vi) your failure to comply with applicable fair housing laws; (vii) inaccurate listing content or misleading property representations; (viii) your management of trust accounts, owner distributions, or management fees in violation of applicable law; or (ix) claims by property owners, tenants, applicants, vendors, or other third parties arising from your use of the Service.
19. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. You may request deletion of your account and associated data by contacting us. We will make reasonable efforts to delete your data in a timely manner, subject to any legal obligations to retain certain information (including FCRA record retention requirements for screening data). Upon termination: linked financial accounts will be disconnected and associated Plaid access tokens will be revoked; any pending screening applications may not be completed; property owner portal access will be revoked; and public listings will be removed.
20. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting the updated Terms and notifying you via email. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms.
21. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Texas.
22. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
23. Entire Agreement
These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and RaiderX, LLC regarding the Service and supersede all prior agreements, understandings, and representations. Any additional terms or conditions imposed by third-party services (such as Stripe, Plaid, or TenantScreeningX) also apply to your use of those services through the platform.
